Terms of Service

Scope of Services

1.1 Business Nature: LEHUO operates strictly as a B2B manufacturer and supplier. We specialize in Food-Medicine Homology products, including enzymes, herbal teas, and TCM wellness crafts.

1.2 No Retail: Our services are exclusively for business entities (wholesalers, brands, distributors). We do not facilitate direct-to-consumer (B2C) retail sales or personal consumption orders.

1.3 Service Types: Services include wholesale supply of finished goods, OEM (Original Equipment Manufacturing), ODM (Original Design Manufacturing), and formulation research & development.

Order & Payment Terms

2.1 Minimum Order Quantity (MOQ): All orders are subject to MOQ requirements, which vary by product category (e.g., bulk raw materials vs. private label packaging). Specific MOQs will be outlined in the quotation.

2.2 Payment Structure: Unless otherwise agreed in writing, a deposit (typically 30-50%) is required to initiate production. The remaining balance must be cleared prior to shipment.

2.3 Pricing Validity: Quotations are valid for 30 days due to market fluctuations in raw herbal material costs.

Customization & Sampling (OEM/ODM)

3.1 Sampling Policy: Samples for custom formulations or packaging are available upon request. Sample fees apply and may be refundable or deductible from the bulk order amount, subject to meeting order thresholds.

3.2 Intellectual Property (IP):

  • Client IP: Designs and trademarks provided by the Client remain their sole property.
  • LEHUO IP: Base formulations and R&D outcomes developed by LEHUO remain our property unless an exclusive transfer agreement is signed.

3.3 Approval: Mass production begins only after the Client has formally approved the pre-production sample. LEHUO is not liable for discrepancies if the final product matches the approved sample.

Shipping & Delivery

4.1 Lead Times: Production lead times are estimates and commence upon receipt of the deposit and final artwork approval.

4.2 Shipping Terms: Standard terms are FOB (Free On Board) or EXW (Ex Works) from our Bozhou/Shanghai facility, unless CIF/DDP is negotiated. Shipping costs and insurance are the responsibility of the Client.

4.3 Customs Clearance: The Client is responsible for import duties, taxes, and customs clearance in the destination country.

Quality Assurance & Returns

5.1 Standards: Products are manufactured in compliance with GMP standards and Chinese export regulations.

5.2 Inspection: Clients typically have a 7-day window upon receipt of goods to inspect and report quality issues. Claims must be supported by photographic or video evidence.

5.3 Resolution: Verified quality defects caused by LEHUO will be remedied through replacement, refund, or credit towards future orders. We do not accept returns for non-quality reasons (e.g., market performance).

Liability & Compliance

6.1 Force Majeure: LEHUO is not liable for delays or failures in performance caused by events beyond our reasonable control, including but not limited to natural disasters, pandemics, war, or logistics interruptions.

6.2 Regulatory Compliance: While we provide product specifications and necessary export documentation, the Client is solely responsible for ensuring the products comply with local laws and regulations in the target market for resale (e.g., FDA, EFSA compliance for specific ingredients).
